SEC Form 5: annual insider transaction report

An annual insider filing for certain transactions not reported earlier on Form 4.

Who files it

Section 16 insiders when annual reporting is required for eligible transactions.

When it is filed

Generally filed after fiscal year-end, subject to SEC rules.

What it discloses

  • Insider identity
  • Reportable transactions for the year
  • Holdings after transactions
  • Footnotes explaining ownership or transaction details

What it does not tell you

Form 5 can be narrow and does not replace reviewing Forms 3 and 4.

The filing is a source document, not investment advice or a prediction of future returns.

The form should be read with its filing date, reporting period, exhibits, and related company disclosures.
