Terms of Service

1. The service

Aerarium Research provides research, analytics, and data tools covering public companies, primarily drawn from SEC EDGAR filings and other public sources. Some areas of the service are available free of charge; others require an active Aerarium Pro subscription. The service is provided for informational and educational purposes only. See our Disclaimer for important limitations on how our data and content should be used.

2. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Aerarium Pro subscription and billing

• Aerarium Pro is a subscription billed monthly at CAD $10/month unless otherwise stated at checkout.
• Billing is processed by Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring monthly basis until you cancel.
• You may cancel your subscription at any time through the Stripe customer portal. Cancellation takes effect at the end of your current billing period, and you will retain Pro access until that date.
• Fees are billed in advance and are non-refundable, including for partial billing periods, except where required by applicable law.
• We may change subscription pricing or features with reasonable advance notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
• We may suspend or terminate access for non-payment or failed billing after reasonable notice.

4. Acceptable use

You agree not to:

• Scrape, crawl, or systematically extract data from the service other than through features we explicitly provide for that purpose
• Reverse engineer, decompile, or attempt to derive the source code of the service
• Resell, sublicense, or redistribute Aerarium Research data or content as a standalone product or competing service
• Share Aerarium Pro account access with others in a manner inconsistent with a single-user subscription
• Interfere with or disrupt the integrity or performance of the service
• Use the service for any unlawful purpose

5. Intellectual property

The Aerarium Research website, software, design, and original content (excluding underlying public filing data, which remains subject to its original public-domain or third-party source terms) are owned by Aerarium Research and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the service for your own personal or internal research purposes, subject to these Terms.

6. Disclaimer of warranties

The service and all data, content, and materials are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the service will be uninterrupted, error-free, or that any data (including financial data sourced from SEC filings and third parties) is complete, accurate, or current. 7. Limitation of liability

To the maximum extent permitted by applicable law, Aerarium Research and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or investment losses, arising out of or related to your use of, or inability to use, the service, even if advised of the possibility of such damages. In no event will our total aggregate liability arising out of these Terms exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

8. Termination

We may suspend or terminate your access to the service at any time for violation of these Terms or for any other reason with reasonable notice where practicable. You may stop using the service and cancel your subscription at any time as described above.

9. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any disputes arising out of or relating to these Terms or the service.

10. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of Aerarium Research after changes take effect constitutes acceptance of the revised Terms.
