Form 4

An SEC insider transaction report for many changes in insider ownership.

What it means

Form 4 is filed by officers, directors, and certain beneficial owners when reportable transactions occur. It shows transaction codes, dates, prices, shares, and post-transaction holdings.

Example

A Form 4 may report a stock award, option exercise, open-market transaction, or tax-withholding transaction.

What not to infer

A Form 4 does not explain motive and should not be treated as a standalone signal.
