Ownership
Insider ownership
Company securities owned by officers, directors, and certain other insiders.
What it means
Insider ownership can appear in proxy statements, Forms 3, 4, and 5, and other filings. The reporting context matters because holdings and transactions answer different questions.
Example
A director may report both direct shares and indirect shares held through a trust.
What not to infer
Insider ownership does not prove alignment, intent, or future performance by itself.
